Welcome to Simplify. These Terms & Conditions govern the use of our website, products, services, platforms, subscriptions, and any related digital services offered by PT Simplify Consulting Indonesia and its affiliated entities, collectively referred to as “Simplify”, “we”, “our”, or “us”.

By accessing our website or using our products and services, you agree to comply with these Terms & Conditions. If you do not agree with these terms, please do not use our website or services.


1. About Simplify

Simplify provides AI, Generative AI, data, cloud, automation, consulting, and enterprise technology solutions. Our services may include software platforms, SaaS products, professional services, proof-of-concepts, implementation services, support, and related advisory services.

2. Use of Our Website and Services

You agree to use our website and services only for lawful purposes. You must not:

  • Use the website or services for fraudulent, illegal, or unauthorized purposes.
  • Attempt to interfere with the security or operation of our website or platforms.

Simplify reserves the right to restrict, suspend, or terminate access if misuse, unauthorized activity, or breach of these terms is identified.


3. Product and Service Information

We make reasonable efforts to ensure that product and service information on our website is accurate and up to date. However, Simplify does not guarantee that all descriptions, pricing, availability, features, or service details are complete, current, or error-free at all times.

Any proposal, quotation, order form, statement of work, or contract agreed separately with a customer shall prevail over general information shown on the website.


4. Pricing, Payments, and Billing

Pricing for Simplify products and services may vary depending on product type, subscription plan, usage, scope of work, implementation requirements, customer-specific configuration, cloud infrastructure, AI model usage, support level, and commercial agreement.

Payments may be made through bank transfer, virtual account, payment gateway, or other payment methods made available by Simplify.

Customers are responsible for ensuring that payment details are accurate. Services may be activated, continued, or delivered based on successful payment confirmation and applicable commercial terms.


5. Subscriptions and Renewals

For subscription-based services, access may be provided on a monthly, annual, or other agreed billing cycle. Subscription terms, renewal rules, cancellation conditions, and usage limits will be specified in the relevant order form, invoice, agreement, or subscription plan.

If a customer does not renew or complete payment within the required timeline, Simplify may suspend or discontinue access to the relevant service.


6. Customer Responsibilities

Customers are responsible for:

  • Providing accurate information required for service delivery.
  • Ensuring authorized use of Simplify platforms by their users.
  • Maintaining confidentiality of login credentials.
  • Ensuring that any data, documents, or content shared with Simplify complies with applicable laws and regulations.
  • Reviewing outputs generated by AI-enabled systems before business, legal, financial, or operational use.

7. AI-Generated Output Disclaimer

Some Simplify products may use AI or Generative AI to assist with document processing, analysis, recommendations, code generation, search, summarization, workflow automation, or other business tasks.

AI-generated outputs may not always be complete, accurate, or suitable for final decision-making without human review. Customers are responsible for validating outputs before relying on them for business, legal, regulatory, financial, or operational decisions.

Simplify does not guarantee that AI-generated responses will be error-free or suitable for every use case.


8. Intellectual Property

All content, trademarks, logos, software, platforms, designs, product names, documentation, workflows, source code, models, accelerators, templates, methodologies, and materials developed or owned by Simplify remain the intellectual property of Simplify unless otherwise agreed in writing.

Customers may not copy, reproduce, distribute, modify, reverse engineer, resell, sublicense, or commercially exploit Simplify products or materials without prior written approval.

Customer-owned data and customer-specific content remain the property of the customer, subject to the terms of the applicable agreement.


9. Confidentiality and Data Protection

Simplify respects the confidentiality of customer information. Any confidential information shared with Simplify will be handled with reasonable care and used only for the purpose of delivering agreed products or services.

Where applicable, data handling, security, privacy, and compliance obligations may be governed by a separate agreement, data processing agreement, non-disclosure agreement, or project contract.


10. Third-Party Services

Simplify products and services may integrate with third-party platforms, cloud services, AI models, APIs, payment providers, or enterprise systems. Simplify is not responsible for disruptions, pricing changes, policy changes, or service limitations caused by third-party providers.

Use of third-party services may also be subject to the terms and policies of those providers.


11. Service Availability

Simplify aims to provide reliable services. However, we do not guarantee uninterrupted or error-free access at all times. Services may be temporarily unavailable due to maintenance, upgrades, technical issues, infrastructure outages, cybersecurity events, or third-party service disruptions.

Where specific service levels are required, they must be agreed separately in a written agreement.


12. Limitation of Liability

To the maximum extent permitted by applicable law, Simplify shall not be liable for indirect, incidental, consequential, special, punitive, or business interruption losses, including loss of revenue, profit, data, goodwill, or anticipated savings.

Simplify’s total liability, if any, shall be limited to the amount paid by the customer for the specific product or service giving rise to the claim, unless otherwise agreed in writing.


13. Cancellation and Refunds

Cancellation and refund terms are governed by our Return & Refund Policy, applicable order form, invoice, statement of work, or signed agreement.


14. Changes to These Terms

Simplify may update these Terms & Conditions from time to time. Updated terms will be posted on this website with the revised effective date. Continued use of the website or services after updates means you accept the revised terms.


15. Governing Law

These Terms & Conditions shall be governed by the laws of the Republic of Indonesia, unless otherwise agreed in writing between Simplify and the customer.
